Acceptance of terms

By accessing noisive.agency or engaging noisive.agency (a studio operated under Kainolab Ltd) for a project, you agree to be bound by these terms. If you do not agree, please do not use this site or our services.

Services

We provide website design, web application development, e-commerce, product design, technical SEO, and ongoing care services. The specific scope, deliverables, timeline, and fee for any engagement are set out in a separate written proposal or statement of work, which takes precedence over this page where the two conflict.

Fees and payment

Project fees are quoted in the applicable proposal and are typically payable in staged instalments tied to project milestones. Late payment may result in paused work. Ongoing Care plans are billed monthly in advance and can be cancelled with 30 days' notice.

Client responsibilities

You agree to provide timely feedback, content, and access needed to deliver the project, and to hold the necessary rights to any material you supply to us. Delays in feedback or content may extend the agreed timeline.

Intellectual property

Upon full payment, ownership of the final deliverables transfers to the client, excluding any pre-existing tools, frameworks, or components we reuse across engagements, which remain our property and are licensed to you for use within the delivered product.

Warranties and liability

We deliver services with reasonable skill and care. To the extent permitted by law, our total liability arising from any engagement is limited to the fees paid for that engagement in the preceding 12 months. We are not liable for indirect or consequential losses.

Termination

Either party may terminate an active engagement with written notice as set out in the relevant proposal. Fees for work completed up to the termination date remain payable.

Governing law

These terms are governed by the laws of England and Wales. Any dispute arising from these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
